Terms & Conditions

1. Acceptance of Terms

By accessing the Harvest College Prep / Harvest Academy LLC (“Harvest,” “we,” “our”) website or using our services, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the site or services. Continued use after changes take effect constitutes acceptance of the updated Terms.

2. Eligibility; Minors & Parent/Guardian Consent

You must be at least 18 to enter into these Terms. If you are under 18, a parent or legal guardian must review and accept these Terms and any service agreement on your behalf, and will be the contracting party. We do not knowingly collect personal information from children under 13 without verifiable parental consent.

3. Services & Academic Integrity

Harvest provides educational advising, counseling, and related programs for U.S. college admissions and transfers. We do not write essays, complete assignments, or engage in any conduct that violates academic integrity policies. Client is responsible for submitting original work; we may decline or terminate services if requested to engage in prohibited conduct. Admissions decisions are made solely by each institution; we do not and cannot guarantee admission or scholarships.

4. Client Responsibilities

Client agrees to (i) provide accurate, timely information; (ii) attend scheduled sessions; (iii) comply with school and testing policies; and (iv) make all decisions regarding applications and enrollment.

5. Fees; Payment; Refunds; Cancellations

5.1 Fees & Payment. Fees are due as invoiced. Accepted payment methods: [direct deposit/wire/ACH/credit card—customize].
5.2 Refunds. Unless otherwise stated in a signed service agreement, fees are non-refundable once services begin, except where required by law.
5.3 Cancellations/Rescheduling. Sessions canceled with less than [24/48] hours’ notice may be forfeited.
5.4 Chargebacks. You agree to contact us in good faith to resolve billing disputes before initiating a chargeback. Unauthorized chargebacks may be referred to collections.
5.5 Late Amounts. Overdue sums may accrue interest at the lesser of 1.0% per month or the maximum permitted by law, plus reasonable collection costs.

6. Scheduling & Program Changes

We may modify program components (topics, mentors, availability) to improve quality or due to instructor availability, provided overall program objectives remain substantially the same.

7. Intellectual Property; Use of Materials

7.1 Our Materials. Site content, curricula, templates, guides, and deliverables we provide (“Harvest Materials”) are owned by Harvest and licensed to you on a non-exclusive, non-transferable basis for your personal, non-commercial use in connection with your educational planning. No other rights are granted.
7.2 Client Content. You grant us a limited license to use materials you provide solely to deliver the services. You represent you own or have rights to such materials.
7.3 Testimonials & Results. With your written consent, we may reference your testimonial, first name/initials, school names, and non-sensitive results for marketing. You may withdraw consent at any time for future use by emailing contact@harvestacademy.kr.

8. Academic Integrity & Grounds for Termination

We may immediately suspend or terminate services (without refund) for requests or conduct involving plagiarism, ghostwriting, academic dishonesty, or unlawful activity.

9. Confidentiality

We maintain the confidentiality of information you share and will use it only to provide the services, comply with law, or protect our legal rights. We may disclose information to staff/contractors who are bound by confidentiality and need access to deliver the services.

10. Privacy & Data Protection

Your personal information is handled under our Privacy Policy (linked in the site footer), which explains your rights and how to make requests (including for California residents). By using the services, you consent to processing as described in the Privacy Policy, including cross-border transfers where applicable.

11. Electronic Communications & SMS Consent

By providing your email or mobile number, you consent to receive service-related communications (e.g., scheduling, deadlines). For marketing texts, we obtain your prior express written consent and include clear opt-out instructions (e.g., reply STOP to cancel). Message/data rates may apply.

12. Third-Party Services

We may suggest or link to third-party platforms (testing, tutoring, application portals). These are not under our control, and their terms/privacy policies govern your use. We are not responsible for third-party acts or omissions.

13. Disclaimers

EXCEPT AS EXPRESSLY SET OUT IN A SIGNED SERVICE AGREEMENT, THE SITE AND HARVEST MATERIALS ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES (MERCHANTABILITY, FITNESS, NON-INFRINGEMENT). WE DO NOT WARRANT ADMISSION OUTCOMES, SCHOLARSHIP AWARDS, OR THIRD-PARTY DECISIONS.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HARVEST’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO HARVEST FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT. IN NO EVENT WILL HARVEST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, OR LOSS OF DATA.

15. Indemnification

You will defend and indemnify Harvest and its personnel from any third-party claims or liabilities arising from (i) your breach of these Terms; (ii) your misuse of the services; or (iii) your violation of law or third-party rights.

16. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Exclusive venue for any action shall be the state or federal courts located in Los Angeles County, California, and the parties consent to personal jurisdiction there.

17. Changes to the Terms

We may update these Terms from time to time. For material changes, we will post the update with a new Effective Date and, where appropriate, provide additional notice (e.g., email). Changes apply prospectively.

18. Termination

We may suspend or terminate access for material breach, misuse, or unlawful activity. You may terminate at any time by notifying us; termination does not relieve you of payment obligations for services already rendered.

19. Miscellaneous

These Terms (plus any signed service agreement and Privacy Policy) are the entire agreement; no waiver is effective unless in writing; any invalid provision is severed; you may not assign without our consent; we may assign to an affiliate or successor; headings are for convenience only.
